LOCLD USER & VENDOR AGREEMENT
Effective Date: February 6, 2025

1. CUSTOMER AGREEMENT

Acceptance of Terms

By using LocLd, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not agree to these terms, you may not use our platform.

Role of LocLd

LocLd provides an online marketplace where vendors list and sell/ auction their products/ services directly to customers. LocLd is not a party to any transaction between buyers and vendors. Vendors are responsible for their own products, shipping, payments, and returns.

Customer Responsibilities

Customers agree to:

  • Review vendor policies before making a purchase.
  • Contact the vendor directly for order issues, refunds, or disputes.
  • Use the platform in good faith and comply with all applicable laws.

Disclaimers & Liability

  • LocLd is not responsible for disputes, product quality issues, delays, or damages arising from vendor transactions.
  • We do not guarantee product availability or vendor performance.
  • Customers release LocLd from any claims, damages, or losses related to transactions conducted on the platform.

Termination & Enforcement

LocLd reserves the right to suspend or terminate customer accounts that violate this Agreement or engage in fraudulent, illegal, or unethical activities.


2. VENDOR & AFFILIATE AGREEMENT

Effective Date & Parties

Effective upon registration, this Agreement is entered into between LocLd and the registered vendor/affiliate.

Role of LocLd

LocLd provides an online marketplace to promote and sell products from vendors. Vendors are responsible for all aspects of their sales, including product listings, order fulfillment, payments, and customer service.

Vendor Responsibilities

Vendors agree to:

  • Provide accurate product descriptions, images, and pricing.
  • Process and ship orders promptly according to their policies.
  • Handle all cash payment processing independently (LocLd does not collect or distribute these funds on behalf of vendors).
  • Establish and clearly communicate return and refund policies.
  • Comply with all applicable laws, including consumer protection, tax obligations, and product safety regulations.
  • Illegal activity including attempt of sale and/ or posting illegal products will not be tolerated and result in immediate termination.

Affiliate Relationship & Commission Structure

  • LocLd will promote vendor products through its platform.
  • Vendors agree to pay a commission on sales generated via LocLd.

Commission Rates:

  • LocLd will charge the vender a standard rate only per sale: 5% + $0.30 processing fee per sale.
  • NEW! Tiered Vendor Subscription Based Commission Model:
    • Free Plan: 5% + $0.30 per sale
    • Starter Plan: $15 a month for a reduced rate of 3.5% + $0.30 per sale plus extra vendor perks
    • Pro Plan: $35 a month for a reduce rate of 2% + $0.30 per sale plus extra vendor perks
  • Advertising Spaces Are Available For Featured Products and Vendors To Purchase. Duration of Feature is 7 days for $5.00

Commission applies to total sales, excluding taxes and shipping fees. LocLd reserves the right to adjust commission rates with a one-month notice. Vendor pricing plans are optional. The above rates per plan will stand until further notice.

Payment Terms

  • Commissions are calculated monthly and paid by the 15th of the following month via PayPal.
  • Vendors receive a detailed sales report with each payment.
  • Vendors can expect a $0.25 withdraw processing fee to withdrawal their earnings.
  • Earnings are held until the grace period of 7 days and a complete sale is achieved.

LocLd Responsibilities

  • Promote vendor products via platform and marketing channels.
  • Provide technical support for platform-related issues.
  • Track sales accurately and provide performance reports.

Term & Termination

  • This Agreement remains in effect until terminated by either party with 15 daysโ€™ written notice.
  • Immediate termination is permitted if either party breaches any material terms.
  • Vendors failing to meet commission obligations may face account suspension until payments are made.

Confidentiality

Both parties agree to keep proprietary information confidential, including sales data, pricing strategies, business operations, and any collected personal data for analytics.

Limitation of Liability

  • LocLd is not liable for indirect, incidental, or consequential damages.
  • Total liability under this Agreement shall not exceed the commissions paid by the vendor in the past 6 months.

Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada. Any disputes will be resolved in Ontario courts.

Modifications to Agreement

LocLd may update this Agreement periodically. Continued use of the platform constitutes acceptance of any revised terms.

Refunds and Return Policy

All Refunds and Returns will be the affiliate/ vendor’s responsibility. LocLd is not responsible for any policies and procedures outline by the Affiliates/ Vendors. Please review their polices for complete accuracy and contact LocLd for other unresolved issues via email: [email protected]

Overview

Our suggested refund and returns policy to vendors/ affiliates are one that lasts 30 days. If 30 days have passed since your purchase, they canโ€™t offer you a full refund or exchange.

To be eligible for a return, your item must be unused and in the same condition that you received it. It must also be in the original packaging.

Several types of goods are exempt from being returned. Perishable goods such as food, flowers, newspapers or magazines cannot be returned. They also do not accept products that are intimate or sanitary goods, hazardous materials, or flammable liquids or gases.

Additional non-returnable items:

  • Gift cards
  • Downloadable software products
  • Some health and personal care items
  • Services rendered
  • Auction category products

To complete your return, the vendor will require a receipt or proof of purchase.

Please do not send your purchase back to the vendor until arrangements are confirmed.

There are certain situations where only partial refunds are granted:

  • Book with obvious signs of use
  • CD, DVD, VHS tape, software, video game, cassette tape, or vinyl record that has been opened.
  • Any item not in its original condition, is damaged or missing parts for reasons not due to our error.
  • Any item that is returned more than 30 days after delivery

Refunds

Once your return is received and inspected, the vendor will send you an email to notify you that we have received your returned item. They will also notify you of the approval or rejection of your refund. Refunds may be issued in the form of store credit.

If you are approved, then your refund will be processed, and a credit will automatically be applied to your credit card or original method of payment, within a certain amount of days.

Late or missing refunds

If you havenโ€™t received a refund yet, first check your bank account again.

Then contact your credit card company, it may take some time before your refund is officially posted.

Next contact your bank. There is often some processing time before a refund is posted.

Sale items

Only regular priced items may be refunded. Sale items are final sale and cannot be refunded.

Exchanges

The vendor has the right to only replace items if they are defective or damaged. If you need to exchange it for the same item, contact the vendor directly. For any outstanding issues or queries email us at [email protected]

Gifts

If the item was marked as a gift when purchased and shipped directly to you, youโ€™ll receive a gift credit for the value of your return. Once the returned item is received, a gift certificate will be mailed to you.

If the item wasnโ€™t marked as a gift when purchased, or the gift giver had the order shipped to themselves to give to you later, the vendor will send a refund to the gift giver and they will find out about your return.

Shipping returns

To return your product, you should mail your product to the Vendor after contacting them about their procedures.

You will be responsible for paying for your own shipping costs for returning your item. Shipping costs are non-refundable. If you receive a refund, the cost of return shipping will be deducted from your refund.

Depending on where you live, the time it may take for your exchanged product to reach you may vary.

If you are returning more expensive items, you may consider using a trackable shipping service or purchasing shipping insurance. The vendor cannot guarantee that they will receive your returned item.

  • With Service Providers: Third-party payment processors, hosting services, and analytics providers.
  • With Vendors: Customersโ€™ necessary order information is shared with vendors for order fulfillment.
  • With Customers: Vendor store details, contact information, and product listings are publicly available.
  • For Legal Compliance: When required by law or to protect our rights and users.

We take reasonable measures to protect your personal information from unauthorized access, use, or disclosure. However, no method of transmission over the internet is entirely secure, and we cannot guarantee absolute security.
